Terms of Use for That Drop App

These Terms of Use (“Terms”) govern your access to and use of That Drop App, including any direct-download version, Setapp version, updates, websites, and related services provided by Matthew Montanez (“That Drop App,” “we,” “us,” or “our”).

By downloading, installing, accessing, or using That Drop App, you agree to these Terms. If you do not agree, do not use the app.

What That Drop App Does

That Drop App is a macOS utility for organizing files into shelves and performing user-directed file workflows such as dragging files, batch rename, archive export, flatten-to-folder, file conversion, Finder service intake, screenshot routing, hotkeys, presets, and related productivity tools.

That Drop App works only on files and folders you choose, drop into the app, send through the macOS Finder service, or make available through features you enable.

License To Use The App

Subject to these Terms and your applicable purchase, license, or Setapp access rights, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use That Drop App for your personal or internal business use.

You may not:

  • copy, resell, rent, sublicense, or redistribute the app except as expressly allowed by us;
  • reverse engineer, decompile, modify, or create derivative works from the app except where applicable law permits it;
  • bypass license checks, Setapp access checks, update controls, or security features;
  • use the app to violate laws, third-party rights, platform rules, or intellectual property rights;
  • use the app to distribute malware, spam, deceptive content, or illegal files;
  • interfere with the app, our servers, Setapp, payment processors, update systems, or other users.

Your Files And Content

You keep ownership of your files, folders, filenames, presets, shelf data, and other content. You are responsible for having the rights needed to process, rename, copy, convert, archive, move, or distribute any file you use with That Drop App.

The app performs file operations at your direction. You are responsible for reviewing outputs before relying on them and for keeping backups of important files. Do not use That Drop App as the only storage location for important or irreplaceable files.

Direct Licenses

If you obtain That Drop App directly from our website or another direct sales channel, your use may require a license key. Direct licenses may include limits such as license type, installation count, major-version eligibility, beta or nightly access, and other entitlement rules shown at purchase or in the app.

You are responsible for keeping your license key confidential. You may not share, publish, sell, or transfer a license key unless we expressly permit it. We may revoke or limit a license if we reasonably believe it was obtained fraudulently, shared publicly, abused, refunded, charged back, or used in violation of these Terms.

Setapp Version

If you obtain That Drop App through Setapp, your access is managed by Setapp and your use is also subject to Setapp’s terms, purchase or subscription status, and platform policies. The Setapp version may be offered as a single-app purchase, individual app subscription, Setapp Membership app, or another Setapp-supported model. The Setapp version must be activated, licensed, and updated through Setapp. Direct license keys, direct-update mechanisms, and direct-purchase entitlements do not apply to the Setapp version unless we expressly say otherwise.

Purchases, Billing, And Refunds

Direct purchases, taxes, receipts, fulfillment, and refunds may be handled by our website, WooCommerce, payment processors, email providers, or other service providers. Setapp single-app purchases, Setapp individual app subscriptions, Setapp Membership billing, taxes, receipts, and refunds are handled by Setapp or its payment providers.

Unless a separate written refund policy says otherwise, refunds for direct purchases are handled case by case and subject to applicable law, fraud prevention, and the rules of the payment provider used for the purchase.

Updates And Availability

We may provide updates, fixes, changes, new features, or removals. Direct-download versions may use our update infrastructure. Setapp versions are updated through Setapp.

We may change, suspend, or discontinue any part of the app or related services at any time. We are not required to support every macOS version, hardware configuration, file format, third-party tool, beta build, nightly build, or workflow forever.

Third-Party Services And Components

That Drop App may rely on macOS, Apple frameworks, Setapp, Sparkle, payment processors, website infrastructure, hosting providers, bundled helpers, and open-source or third-party components. Those third parties may have their own terms and policies.

Third-party and open-source components remain subject to their own licenses and notices. Nothing in these Terms limits rights you may have under those third-party licenses.

Feedback

If you send ideas, bug reports, suggestions, or other feedback, you grant us permission to use that feedback without restriction or compensation. You agree not to send confidential information as feedback unless we have agreed in writing to receive it confidentially.

Privacy

Our handling of information is described in our Privacy Policy. By using That Drop App, you also agree to the Privacy Policy.

No Warranty

That Drop App is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, and data accuracy.

We do not warrant that the app will prevent data loss, work with every file, preserve every metadata field, produce a desired output, or meet every requirement.

Limitation Of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, replacement costs, or loss of goodwill.

To the maximum extent permitted by law, our total liability for any claim related to That Drop App or these Terms will not exceed the amount you paid us directly for That Drop App in the 12 months before the claim, or USD $50 if you paid us nothing directly.

Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold us harmless from claims, losses, liabilities, damages, costs, and expenses arising from your use of That Drop App, your files or content, your violation of these Terms, or your violation of law or third-party rights.

Termination

You may stop using That Drop App at any time. We may suspend or terminate your access to the app or related services if you violate these Terms, create risk or legal exposure, abuse licenses or infrastructure, or if required by law or platform rules.

After termination, sections that by their nature should survive will survive, including ownership, restrictions, payment obligations, disclaimers, limitation of liability, indemnity, and governing law.

Changes To These Terms

We may update these Terms from time to time. The updated version will be posted with a new “Last updated” date. Your continued use of That Drop App after changes become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of CA/US, without regard to conflict-of-law rules. Any disputes will be handled in the courts located in Los Angeles County, California, unless applicable law requires a different forum.

Severability

If any part of these Terms is found unenforceable, the remaining parts will remain in effect.
